Franchise disclosure is at, or may now even be past, a crossroads. For thirty years, since the adoption of the Uniform Franchise Offering Circular (“UFOC”) Guidelines in the early 1970’s, the North American Securities Administrators Association, Inc. (“NASAA”) and its predecessors have made a conscious effort to streamline disclosure contents and the disclosure process. Headway has been made. The 1987 Guidelines, as refined in 1994, were notable advancements toward bringing uniformity to the process. Also, the coordinated efforts among the states, with cooperation from the FTC, has made it considerably easier today to prepare one document that can meet legal requirements in multiple jurisdictions.

Award of Attorney Fees Under Franchise Agreements: Specific Language is Important
Under English Law, the prevailing party in a lawsuit is entitled to the award of attorney fees, but under the “American rule of law”, except in certain extraordinary cases, absent an agreement of the parties, each party pays its own attorney fees. As a result, many franchise agreements contain provisions allowing the award of attorney fees to the prevailing party in a dispute. Four recent cases stress the importance of the specific language contained in the agreement.
